Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of zovos.ai (the "Site"), the Regulatory Radar email newsletter, and any other product, service, content, or feature provided by Zovos AI, Inc. ("Zovos AI," "we," "us," or "our") that links to or references these Terms (collectively, the "Services").

Please read these Terms carefully. By accessing the Site, signing up for Regulatory Radar, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you are accessing or using the Services on behalf of a company, financial institution, or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.


1. Who We Are

Zovos AI, Inc. is a Texas C-Corporation headquartered in Austin, Texas, building agentic compliance infrastructure for financial institutions of every size.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old, or of legal age to form a binding contract in your jurisdiction
  • Have authority to agree to these Terms on behalf of yourself and any organization you represent
  • Not be barred from using the Services under U.S. law, the law of your country of residence, or any list of restricted parties maintained by the U.S. government (including OFAC's Specially Designated Nationals list)

The Services are designed for use by professionals working at or with U.S.-based financial institutions and related compliance, risk, audit, legal, and consulting roles. The Site is not directed to children under 13 and we do not knowingly collect their information.


3. The Services

3.1 Free Services (Regulatory Radar)

The Regulatory Radar newsletter is a free monthly email digest that summarizes regulatory developments affecting financial institutions of every size. It covers sources such as the FFIEC, OCC, NCUA, CFPB, the Federal Reserve, and state banking departments.

  • Free to subscribe. You may unsubscribe at any time using the link in any newsletter email or by emailing hello@zovos.ai.
  • Editorial product. Regulatory Radar is an editorial publication. It is not legal, regulatory, compliance, audit, tax, accounting, or investment advice.
  • AI-assisted. AI is used to summarize and categorize publicly available regulatory materials. We review material content before publication, but no editorial process is perfect and AI-generated summaries can contain errors. Always verify against the source materials linked in each issue before relying on any summary.

3.2 Paid Services (When Available)

We may offer paid services, including but not limited to AI Gap Assessments and a multi-agent Compliance Platform. Paid Services are provided under a separate written agreement (such as a Master Services Agreement, Order Form, Statement of Work, or Data Processing Addendum). Where there is a conflict between these Terms and a separately signed agreement for paid Services, the separately signed agreement controls.

These Terms do not by themselves create any obligation for Zovos AI to provide paid Services. Pricing, scope, service levels, and other commercial terms are set in the applicable signed agreement.

3.3 Beta and Preview Features

From time to time we may offer features marked as "beta," "preview," "early access," or similar. Such features are provided as-is, may change or be discontinued without notice, and are not subject to any service level commitments unless expressly stated in writing.

3.4 Service Levels and Availability (Paid Services)

This Section applies only to Paid Services, and only once they are generally available to you under a paid subscription or order. It does not apply to Free Services (including Regulatory Radar) or to Beta and Preview Features (Section 3.3), which are provided as-is with no availability commitment.

Availability commitment. For Paid Services, we use commercially reasonable efforts to make the platform available with a Monthly Uptime Percentage of at least 99.5% in each calendar month. "Monthly Uptime Percentage" means the percentage of minutes in the month during which the platform's authenticated application and API are available, excluding the Exclusions below.

Service credits. If we miss this commitment in a calendar month, your sole and exclusive remedy is a service credit against a future invoice, applied to the fees for the affected Paid Service:

Service credits are non-refundable, carry no cash value, and will not exceed 50% of the affected Paid Service's fees for the month.

Claiming a credit. To receive a credit, email support@zovos.ai within thirty (30) days after the end of the month in which the shortfall occurred, with the dates and times of unavailability. We validate claims against our monitoring of record and apply any credit due to your next invoice.

Exclusions. Downtime does not include, and this commitment does not apply to, unavailability caused by any of the following:

  • (a) Scheduled maintenance announced at least 48 hours in advance, within a window we publish and not exceeding 8 hours per month in aggregate.
  • (b) Emergency maintenance needed to protect security or integrity, with best-effort notice.
  • (c) Events outside our reasonable control, including Force Majeure (Section 17.7) and failures of the public internet or your network.
  • (d) Your acts, omissions, equipment, software, or configuration, including misconfigured single sign-on.
  • (e) Failures of third-party services outside our platform boundary, including your identity provider and upstream model-inference and email providers.
  • (f) Beta and Preview Features (Section 3.3) and real-time collaborative editing (described below).
  • (g) Any suspension or termination permitted under these Terms.

Real-time collaboration. Real-time collaborative document editing is provided as a supplemental feature. Brief reconnections may occur during maintenance or deployments. Your saved work is preserved. This feature is excluded from the availability commitment and carries no service credit.

Order of precedence. If a signed agreement or order between you and us includes a service level exhibit, that exhibit controls for the Paid Services it covers, and this Section 3.4 applies only where that exhibit is silent.


4. No Professional Advice

The Services do not provide legal, regulatory, compliance, audit, tax, accounting, investment, or any other professional advice. Information provided through Regulatory Radar, the Site, or any other Zovos AI Service is for general informational purposes only.

Specifically:

  • Regulatory summaries are editorial and may not capture every nuance of a regulation, guidance document, or examination expectation.
  • AI-generated content can contain errors, omissions, or hallucinations. Always verify against primary sources.
  • Coverage of a topic does not mean the Service identifies every regulation, requirement, or risk that applies to your institution.
  • Compliance ultimately depends on your institution's own facts, regulator expectations, and qualified counsel.

You should consult qualified legal counsel, your compliance officer, your auditor, and your primary regulator before making any decision based on information from the Services. Nothing in the Services creates an attorney-client, fiduciary, or advisory relationship.


5. Your Account and Subscription

If you sign up for Regulatory Radar or any other Service that requires identification:

  • Provide accurate information. Give us a real, working email address and accurate institution information when you provide it.
  • Keep credentials secure. If a future Service offers an account or login, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@zovos.ai if you suspect unauthorized use.
  • One person per account. Do not share credentials.
  • Authorized use only. Only use the Services within the scope of your role at an organization that has a legitimate interest in financial institution compliance.

We may suspend or terminate access without notice if we reasonably believe you have violated these Terms or if we are required to do so by law.


6. Acceptable Use

You agree not to, and not to permit anyone to:

  1. Misuse the Services by violating any law, regulation, or third-party right.
  2. Interfere with operation of the Site or Services, including by sending viruses, conducting denial-of-service attacks, or probing systems for vulnerabilities outside of authorized security testing.
  3. Scrape, mirror, or systematically extract content from the Site or Services using automated means (other than search engines respecting our robots.txt) without our prior written permission.
  4. Reverse engineer, decompile, or disassemble any software or model that may be made available, except to the extent applicable law expressly permits.
  5. Train AI or machine learning models on Zovos AI content (including Regulatory Radar issues, gap assessment outputs, and other proprietary content) without our prior written permission.
  6. Use the Services to develop a competing product or to provide regulatory intelligence services to third parties without our prior written permission.
  7. Resell, redistribute, or republish Service content for commercial purposes without our prior written permission. Internal forwarding within your institution to colleagues with a legitimate need is permitted and encouraged.
  8. Misrepresent your identity or your relationship to any institution, regulator, or other party.
  9. Spam, harass, or abuse any other user, employee, or contractor of Zovos AI.
  10. Use the Services in violation of export controls or sanctions, including by accessing the Services from a country or by a person subject to a U.S. sanctions program.

We may investigate suspected violations and cooperate with law enforcement to prosecute violations. Violations may result in suspension or termination of access and forfeiture of any prepaid fees.

To report a vulnerability or suspected security issue, email security@zovos.ai. We support good-faith security research and will not pursue legal action against researchers who comply with industry-standard coordinated disclosure.


7. Intellectual Property

7.1 Our Rights

The Site, the Services, and all content, software, design, text, graphics, logos, trademarks, audio, video, data compilations, and other materials made available through them (the "Zovos Materials"), other than User Content (defined below) and Customer Data, are owned by or licensed to Zovos AI and are protected by U.S. and international intellectual property laws.

"Zovos AI" and the Zovos AI logo are trademarks of Zovos AI, Inc. You may not use them without our prior written permission, except for nominative fair use (e.g., factually identifying the Service in articles or social posts).

7.2 Limited License to You

Subject to your compliance with these Terms, Zovos AI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

  • Access and view the Site for your personal or internal business use
  • Receive and read Regulatory Radar issues
  • Forward Regulatory Radar issues internally within your institution to colleagues with a legitimate need
  • Quote brief excerpts from Service content with appropriate attribution to "Zovos AI" and a link to the original

All other rights are reserved.

7.3 Your Content

If you submit feedback, questions, suggestions, testimonials, or other materials to us ("User Content"), you grant Zovos AI a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and display that User Content for purposes of operating and improving the Services. You represent that you have the rights necessary to grant this license, and that your User Content does not violate any third-party right or applicable law.

We are under no obligation to use, attribute, or compensate you for User Content. We may, but are not obligated to, remove User Content for any reason.

7.4 Feedback

We welcome feedback. Any feedback, suggestions, or ideas you provide may be used by Zovos AI without obligation to you. You waive any right to compensation or attribution for feedback.

7.5 Customer Data (for Paid Services)

For paid Services, the treatment of data you upload or submit to a Service ("Customer Data") is governed by your separately signed agreement. Generally, customers retain ownership of Customer Data, and Zovos AI processes it as a service provider/processor under your direction. Refer to your Master Services Agreement and Data Processing Addendum for the controlling terms.


8. Third-Party Content and Links

The Services may contain links to third-party websites, services, or content (including links to regulator websites, federal register entries, and third-party news sources). These are provided for convenience. Zovos AI does not control and is not responsible for third-party content, and inclusion of a link is not an endorsement.

When you leave the Site by clicking a third-party link, the third party's terms and privacy policies apply.


9. Privacy

Our Privacy Policy explains how we collect, use, and protect personal information. By using the Services, you consent to that collection and use.

For paid Services that involve processing of personal information on behalf of a customer, the Data Processing Addendum (or equivalent) in your signed agreement governs.


10. Fees, Billing, and Refunds (Paid Services)

For paid Services:

  • Fees. Fees, billing frequency, and renewal terms are set in your Order Form or other signed agreement.
  • Payment. Payments are processed through Stripe or another payment processor we designate. By providing payment information, you authorize us to charge the agreed fees.
  • Taxes. Fees are exclusive of applicable taxes, which are your responsibility unless we are required by law to collect them.
  • Late payment. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law, plus reasonable collection costs.
  • No refunds by default. Except where required by law or expressly provided in your signed agreement, fees are non-refundable.
  • Auto-renewal. Subscriptions auto-renew unless terminated in accordance with your signed agreement.

The Regulatory Radar newsletter is free. No fees apply.


11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZOVOS AI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

ZOVOS AI DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR THOSE OF YOUR INSTITUTION
  • ANY REGULATORY SUMMARY, GAP ANALYSIS, OR AI-GENERATED OUTPUT IS COMPLETE, ACCURATE, OR UP TO DATE
  • THE SERVICES WILL HELP YOU PASS ANY EXAMINATION, AUDIT, OR REGULATORY REVIEW

THE SERVICES DO NOT REPLACE QUALIFIED LEGAL, REGULATORY, COMPLIANCE, AUDIT, OR ADVISORY PROFESSIONALS. YOU ARE RESPONSIBLE FOR VERIFYING ANY INFORMATION AGAINST PRIMARY SOURCES AND CONSULTING APPROPRIATE PROFESSIONALS BEFORE TAKING ACTION.

Some jurisdictions do not allow exclusion of certain warranties. To the extent the disclaimers in this section are not enforceable, they are limited to the maximum extent permitted by law.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(A) NO INDIRECT DAMAGES. IN NO EVENT WILL ZOVOS AI OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, REGULATORY FINES OR PENALTIES, EXAMINATION FINDINGS, OR REPUTATIONAL HARM, EVEN IF ZOVOS AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(B) AGGREGATE CAP. ZOVOS AI'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, WILL NOT EXCEED THE GREATER OF (I) THE FEES YOU PAID TO ZOVOS AI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).

(C) FREE SERVICES. FOR USE OF FREE SERVICES (INCLUDING REGULATORY RADAR AND THE SITE ITSELF), ZOVOS AI'S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

(D) ESSENTIAL BARGAIN. YOU AGREE THAT THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE BARGAIN BETWEEN YOU AND ZOVOS AI AND THAT ZOVOS AI WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow limitation of certain damages. To the extent any limitation in this section is not enforceable in your jurisdiction, it is limited to the maximum extent permitted by law.


13. Indemnification

You agree to defend, indemnify, and hold harmless Zovos AI and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Services in violation of these Terms or applicable law
  • Your User Content
  • Your violation of any third-party right, including intellectual property or privacy rights
  • Your representation that you have authority to bind an organization
  • Any reliance by you or your institution on Service content for legal, compliance, audit, or regulatory decisions

We will provide reasonable notice of any claim and may, at our option, control the defense at your expense. You may not settle any claim without our prior written consent if the settlement imposes any obligation on us or admits liability on our behalf.


14. Term and Termination

14.1 Term

These Terms apply from the first time you access the Services and continue until terminated.

14.2 Termination by You

You may stop using the Services at any time. To unsubscribe from Regulatory Radar, click the unsubscribe link in any issue or email hello@zovos.ai. To terminate a paid Service, follow the termination process in your signed agreement.

14.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without notice, if:

  • You materially breach these Terms
  • We are required to do so by law or legal process
  • We discontinue the Services (we will provide reasonable notice to active paying customers per their agreements)
  • Continued provision creates legal, security, or reputational risk

14.4 Effect of Termination

Upon termination:

  • Your right to access the Services ends immediately.
  • Sections that by their nature should survive termination survive it, including Sections 4 (No Professional Advice), 7 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), 16 (Dispute Resolution), and 17 (General).
  • We may retain personal information as described in our Privacy Policy.

15. Governing Law

These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.


16. Dispute Resolution

16.1 Informal Resolution First

Before filing any formal proceeding, you agree to first contact us at legal@zovos.ai with a clear description of the dispute and the relief you are seeking. We will work with you in good faith for at least 30 days to resolve the dispute informally.

16.2 Venue

If informal resolution fails, any action or proceeding arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Travis County, Texas, or the U.S. District Court for the Western District of Texas. You and Zovos AI consent to the personal jurisdiction of those courts and waive any objection to venue.

16.3 Equitable Relief

Notwithstanding Section 16.2, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, or to prevent imminent harm.

16.4 Time Limit

Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the cause of action arises, or it is permanently barred, except where applicable law prohibits a shorter period than its statute of limitations.

16.5 Jury Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL in any proceeding arising out of or related to these Terms or the Services.

16.6 Class Action Waiver

EACH PARTY AGREES THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY and not as a plaintiff or class member in any class, collective, or representative proceeding. If this class action waiver is held unenforceable for a particular claim, that claim will be severed and litigated, but this waiver remains enforceable for all other claims.


17. General

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any signed agreement for paid Services, constitute the entire agreement between you and Zovos AI regarding the Services and supersede any prior or contemporaneous understandings.

17.2 Order of Precedence

If there is a conflict between these Terms, a signed agreement (such as an MSA), and the Privacy Policy:

  1. The signed agreement controls for matters within its scope
  2. These Terms control for matters outside the signed agreement
  3. The Privacy Policy controls for matters of personal information collection and use

17.3 Changes to These Terms

We may update these Terms from time to time. When we do:

  • The "Last Updated" date at the top will reflect the change.
  • For material changes affecting paid customers, we will provide notice as set out in the applicable signed agreement.
  • For free Services, we will post the updated Terms on the Site. Continued use after the effective date constitutes acceptance.

If you do not agree to updated Terms, stop using the Services and unsubscribe.

17.4 Assignment

You may not assign these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets. Any attempted assignment in violation of this section is void.

17.5 No Waiver

Failure by either party to enforce any provision of these Terms is not a waiver of that provision or any other.

17.6 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.

17.7 Force Majeure

Neither party is liable for delays or failures to perform caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, infrastructure outages, cyberattacks, or pandemic.

17.8 No Third-Party Beneficiaries

These Terms are for the benefit of you and Zovos AI. They do not create rights for any other party, except that the indemnified parties in Section 13 may enforce that section directly.

17.9 Headings

Headings are for convenience only and do not affect interpretation.

17.10 Notices

Notices to Zovos AI must be sent to:

Notices to you may be sent to the email address on file or posted on the Site, and are deemed delivered when sent or posted.

17.11 Government Use

If the Services are accessed or used by or on behalf of a U.S. government entity, the Services are provided as "Commercial Items" with rights as set out in 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202, as applicable. No additional government rights are granted.

17.12 Export Controls

You agree to comply with all applicable U.S. and foreign export control and sanctions laws when using the Services, and you represent that you are not located in, ordinarily resident in, or a national of a country subject to comprehensive U.S. sanctions.

These Terms & Conditions are provided to support compliance with applicable law and to allocate risk fairly between Zovos AI and users of the Services. They are not legal advice. Before launching paid Services, Zovos AI will engage qualified counsel to review and refine these terms and to draft separate Master Services Agreements, Data Processing Addenda, and other commercial contracts as needed.
